1. Who we are and when these Terms apply

These Terms govern the website and services of ULISEO LLC (“Uliseo”, “we”, “us” or “our”). Uliseo Studio is our brand for website creation; Uliseo provides local search engine optimisation (SEO), free audits and related support. Our contact details appear below.

Our services are intended for businesses and individuals acting for professional purposes. You must be at least 18 and authorised to enter into the agreement on your own behalf or for the organisation you represent. Mandatory rights that apply to a protected customer are not excluded merely because a service is described as business-to-business.

A paid service begins when the applicable proposal, order or service agreement is accepted through the agreed process. Browsing this website or requesting a free audit does not create a paid subscription. We make these Terms available before a service order is accepted. A signed agreement prevails over conflicting provisions here for the service concerned.

2. Services and agreed scope

Uliseo builds custom websites and provides ongoing website support, Google Business Profile management, local search engine optimisation (SEO) and review management according to the package you choose. We also offer free website previews and audits. Bespoke projects may include additional integrations, multilingual or multi-location work and AI automation where expressly agreed.

Presence includes a custom website of up to seven pages with copy, responsive design, hosting, SSL, backups, website edits within 48 hours, Google Business Profile setup and basic SEO. Signature includes Presence services, up to fifteen pages, ongoing Google Business Profile optimisation and weekly posts, automated review requests, tailored review replies, local SEO, Maps heatmaps, monthly reporting and the 120-day Google results guarantee.

Bespoke includes the Signature services and guarantee, with the additional pages, integrations, automation and support specified in your proposal. An independently purchased one-time website build has the scope stated in its accepted quote; it does not automatically include an ongoing subscription or the Google results guarantee.

Your accepted proposal records the deliverables, schedule, included services and any project-specific requirements. Routine website edits included in your package do not generate an additional invoice. Substantial new features or work outside the package require your agreement on scope and price before we proceed.

3. Free previews and audits

We create a first preview of your new website before you pay anything. We select preview projects for businesses we believe we can help. Requesting or reviewing a preview does not create a paid subscription. If you do not approve it and choose to proceed, nothing is payable for that preview.

A free audit is an initial review of your website or Google presence based on the information and access available. It does not commit you to buy a service and is not a complete technical, security, accessibility or legal certification. Audit findings describe the position at the time of review.

A paid engagement starts only when you approve the preview or proposal and expressly accept the applicable price, scope and billing arrangements. We do not take preview approval as consent to unrelated marketing.

4. Client responsibilities

You are responsible for supplying accurate business details, content, brand assets, required approvals and authorised account access in a timely manner. You must have the rights to use materials you supply and a lawful basis to share personal information. Use delegated access where possible and keep credentials secure.

You remain responsible for the accuracy and legality of your business claims, offers and regulated content. Healthcare businesses must review professional and medical claims before publication. Do not send patient records or sensitive information through general enquiry channels. Any work requiring sensitive data must be separately assessed and agreed.

Delays in materials, access or approvals may affect delivery dates. We will explain the impact and agree an updated schedule where needed. You must identify a person authorised to give consolidated feedback and approvals.

5. Website reviews, revisions and launch

You review the website before launch and can identify content corrections, broken links or differences from the agreed functionality. We seek your approval before publishing your website; silence alone is not launch approval.

Our website offer includes launch within 10 days of receiving your content. We record the delivery start date and required materials in your accepted order. If we miss this delivery commitment, your first subscription month is free. Any change to an agreed schedule is discussed with you rather than assumed.

During an active monthly package, included website edits are completed within 48 hours, with no separate charge. We reply to enquiries within one business day. A request for a new feature outside the agreed package is discussed and priced separately before additional work starts.

Design approval does not waive rights concerning defects or obligations that cannot lawfully be excluded.

6. Local SEO and results

We perform the agreed Google Business Profile, review and local SEO work with reasonable care and skill. Google controls its search results and account decisions. Competition, location and platform changes can affect outcomes. We do not buy rankings, fabricate reviews or promise a specific search position, sales figure or revenue.

120-day Google results guarantee — Signature and Bespoke only

The guarantee applies to Signature and Bespoke subscriptions. It does not apply to Presence or a standalone one-time website build.

If the agreed Google results have not been achieved after the first 120 days, we pause your monthly subscription billing and continue the agreed work free of charge until those results are achieved. This is a continuation-of-service guarantee, not a refund of the first four monthly payments.

For this guarantee, results mean an increase in calls attributable to Google compared with the starting baseline. Before the service starts, we record the baseline, the data source, the equal-length comparison periods and the start date of the 120-day assessment. We use that same agreed method to assess whether the increase has been achieved and share the supporting report with you.

No monthly subscription fees accrue for the period covered by the guarantee pause, and we do not invoice those paused months retrospectively. Once the agreed results are evidenced, we notify you and resume subscription billing for future service. You remain free to cancel the subscription and request the handover described below.

The guarantee does not restrict any mandatory statutory rights. The agreed measurement method must be disclosed before you subscribe and must not introduce undisclosed conditions that reduce this guarantee.

7. Fees, subscriptions and payments

Presence is €190 per month plus a €790 setup fee. Signature is €490 per month plus a €790 setup fee. Bespoke starts at €790 per month, with setup quoted after a discovery call. A one-time website build starts at €2,990 and is quoted individually.

The setup fee is payable only after you approve your preview and choose to proceed. There is no 50% deposit to create the preview and no automatic 40% / 30% / 30% payment schedule. Your accepted order shows the total price, applicable tax treatment, first subscription billing date, renewal dates and any expressly agreed payment schedule before you commit.

Stripe processes our payments. You authorise only the charges and recurring schedule disclosed in your accepted order. Please maintain accurate billing information and notify us promptly of any disputed charge.

Monthly packages have no minimum-term commitment and may be cancelled at any time without an early termination penalty. Send your cancellation to hello@uliseo.io before the next renewal. Cancellation takes effect at the end of the current paid billing period and we confirm it in writing. The guarantee billing pause is separate from cancellation and operates as described in section 6.

8. Cancellation, refunds and withdrawal rights

Declining the free preview before accepting a paid engagement costs nothing. After a paid engagement begins, cancellation and any refund for work already supplied follow the accepted order and mandatory law. An advance payment is accounted for against work properly performed and authorised costs; these Terms do not impose a blanket non-refundable fee.

Cancelling a monthly subscription does not cause you to lose your website. You own it and we transfer it to you as described in sections 10 and 16. There is no website buyout charge or early termination penalty.

The Signature and Bespoke Google results guarantee pauses future monthly billing while we continue work free of charge. It does not promise a refund of the first four payments. Applicable statutory refund and other mandatory rights remain unaffected.

Where statutory withdrawal rights apply, they take priority. For example, some French contracts concluded away from business premises with a professional employing five or fewer people may carry a 14-day withdrawal right when the purchase falls outside that professional’s main activity. This does not create a general withdrawal right for every business purchase.

If you are entitled to withdraw, the required information and withdrawal form must be provided before the contract. Starting work during that period requires the express request prescribed by law. Any payment for work already supplied or loss of the withdrawal right is subject to the applicable legal conditions. Contact hello@uliseo.io to notify us of withdrawal or request assistance.

9. Platforms, hosting and ongoing costs

Our website and client services use HighLevel and other agreed tools. Hosting, SSL and backups are included in the monthly website packages. Your accepted order identifies any separately payable domain registration, advertising budget, third-party licence, usage charge or external subscription; we do not add undisclosed charges.

You retain ownership of your domain and business accounts. On cancellation we arrange the handover of the website and associated client assets and access. Any third-party hosting or software service you choose to keep after our subscription ends is arranged in your own account. We explain the practical transfer requirements and ongoing third-party costs before handover.

Third-party platforms and licensed assets remain subject to their own terms and technical capabilities. Those limitations do not create a buyout fee for your website or remove our obligation to hand over the work, files, data and client access we manage for you. We remain responsible for our own agreed work and communicate material effects of platform changes.

10. Content, ownership and licences

Your website is yours. You retain ownership of your business content, branding, domain and accounts, and the custom website and client-specific deliverables we create for you belong to you. Website ownership is not conditional on keeping a monthly subscription active.

If you cancel, we transfer the website, project files, content, client-specific assets and the related client accounts and access we manage to you. No separate website purchase or buyout is required. We cooperate with the receiving provider you choose to make the handover practical.

You give us the permissions needed to work on and support your website while we provide the service. You confirm that you have the rights to materials you supply. Third-party software and licensed assets remain subject to their applicable licences; the underlying HighLevel, Google and Stripe platforms themselves are not property that Uliseo can transfer.

Our pre-existing general tools and reusable methods remain ours, but this does not restrict your continued use of your delivered website. We obtain permission before using confidential information or unpublished client work in a public portfolio.

11. Confidentiality and personal information

Each party must take reasonable care of confidential information received from the other, use it for the engagement and disclose it only to authorised people who need it or where law requires. Information already public without breach, independently developed or lawfully obtained elsewhere is not confidential under this clause.

Our Privacy Policy explains how we handle personal information for our own business purposes. Where we process personal information on your behalf, appropriate data-processing terms and instructions must be agreed. Accepting these Terms is not consent to optional cookies, advertising trackers or unrelated marketing.

12. Acceptable use

You must not use our website or services for unlawful, fraudulent, deceptive or abusive activity, to infringe intellectual property or privacy rights, distribute malicious code, access systems without permission or disrupt services. You must not ask us to publish false claims, fabricated reviews or content you have no right to use.

We may decline unlawful instructions and, where proportionate, suspend affected work to address an immediate legal or security risk. We will explain the issue and provide an opportunity to resolve it where reasonably possible.

13. Service standards and limitations

We will perform the agreed professional services with reasonable care and skill. We do not promise uninterrupted third-party platform availability or that a website will meet every requirement not included in the agreed scope. Material functionality and compatibility requirements should be recorded before work begins.

Website content and general audit observations are not legal, medical or financial advice. Any applicable statutory guarantees and remedies remain available. No general disclaimer overrides an express obligation in the accepted agreement.

14. Liability

To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses arising from the engagement. This does not exclude payment obligations or liability that cannot lawfully be limited.

For business clients, and only to the extent lawful and consistent with the essential obligations of the contract, Uliseo’s liability is capped at the amount paid for the affected service during the three months before the event giving rise to the claim, unless the signed agreement provides otherwise. This cap does not limit our express obligation to pause billing and continue work under the Google results guarantee.

These limitations do not apply to fraud, deliberate misconduct, gross negligence where exclusion is prohibited, death or personal injury caused by negligence where legally protected, or other liability that cannot be excluded or limited. They do not remove mandatory data protection rights, statutory remedies or protections applicable to a customer.

15. Third-party claims

For business clients and to the extent permitted by law, you are responsible for third-party claims caused by unlawful materials or instructions you knowingly provide, your infringement of another person’s rights, or your unauthorised use of the services. This does not require you to cover losses caused by Uliseo’s own breach, negligence or misconduct.

Each party must notify the other promptly of a relevant claim, cooperate reasonably and take reasonable steps to limit loss. No settlement imposing an admission or obligation on the other party may be agreed without that party’s consent.

16. Suspension, termination and handover

You may cancel your monthly subscription at any time under section 7. We may suspend affected services for overdue undisputed payments, material breach or serious legal or security concerns, with notice and a reasonable opportunity to resolve the issue where practical. A billing pause under the Google results guarantee is not a suspension of our work.

At the end of the engagement, we organise the transfer of your website and all associated client materials, project files, data and accounts or access under our management. We agree the handover steps with you and your chosen provider, and identify outstanding work and amounts properly due. Cancelling does not require a website buyout or forfeit your ownership.

Our ongoing management ends when the engagement ends, unless separately agreed. Confidentiality, accrued lawful payment obligations, your ownership and other provisions intended to survive continue to apply.

17. Governing law and disputes

These Terms are governed by the laws of Wyoming, United States, except where mandatory law requires otherwise. This choice does not deprive a protected customer of mandatory rights under the law that would otherwise apply, including applicable French or EU protections.

Please contact hello@uliseo.io with a description of any dispute so we can try to resolve it. This does not prevent urgent relief or the exercise of statutory rights. Unresolved disputes may be brought before the competent courts under applicable jurisdiction rules. Arbitration requires a separate valid agreement; these Terms do not require every client to arbitrate in Wyoming.

18. Changes and general provisions

We may update these Terms for future engagements and will identify the revised date. Changes do not retrospectively alter an accepted project or impose additional charges without a valid contractual basis. Material changes to an ongoing engagement must follow its agreement and applicable notice or acceptance requirements.

If a provision is unenforceable, the rest remains effective where legally possible. Failure to enforce a right is not a waiver. These Terms and the accepted proposal or service agreement form the contract for the relevant services. The Privacy Policy provides information about processing and does not replace any required separate consent.
